Limited liability company can be established by one or more persons for every legally acceptable purpose. Limited liability company is the safest form of running business. For obligations of the company its shareholders are not responsible, but the company answers. Initial capital (minimum initial capital in limited liability company amounts 5,000 zloty) is divided into shares with equal , which have to be taken up by contributing cash contributions.
Shareholders do not conduct affairs of the company as a rule, this obligation was ceded to management board, which can be as well multiperson as single. Such rules of functioning the company as division of profit and participation in losses, the rules of representation or the duration of the company should find reflection in the articles of incorporation, which is drawn under pain of nullity in the form of notarial deed.
There is also possibility of establishing limited liability company through Internet network. This method is decidedly faster (shortens the time to seven forecast working days), cheaper (350 zloty of court fee instead of 600 zloty) and less formalized. For using this option possession of trusted profile EPUAP or certified electronic signature is however necessary. Possession of Personal Identity Number PESEL is required to establish trusted profile or putting electronic signature. In the case of the lack of assigned Personal Identity Number PESEL establishing company can occur only in the form of notarial deed.
